Develops and ensures adherence to the legal corporate strategy;
Acts as Secretary to the Board, Shareholder’s, Committee meetings and Executive Committee; including convening the meeting, preparation of agenda and papers as well as drafting and extracting of minutes and resolutions thereafter;
Ensures compliance with the Group’s establishing Memorandum and Articles of Association;
Maintains the company’s statutory books, registers, returns with the Registrar of Companies and secretarial records and custody of the company’s common seal;
Provides legal advice to the Board, management and staff to ensure that the Group’s legal interests are safeguarded.
Provides updates, guidance and interpretation of laws, regulations on rules that affect the Group’s business operations ;
Develops and maintains the corporate governance framework for the Group;
Develops guidance, codes and manuals as required to guide compliance of the obligations;
Ensures proper and professional drafting of all legal contracts;
Maintains all contracts and legal documents;
Ensures that the interests of Group are adequately protected in all litigation;
Qualifications
A degree in law: LLB Honours.
At least six (6) years legal and financial services sector experience
Must be registered as a Legal Practitioner
Full CIS and /or IOBZ or MBA would be an added advantage
Thorough knowledge of Banking, Commercial and General law
